1. Acceptance of Terms

By accessing or using any Bridge Innovations LLC ("Bridge Innovations", "we", "our", or "us") product or service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our products or services. These Terms constitute a legally binding agreement between you and Bridge Innovations LLC.

2. Description of Services

Bridge Innovations provides AI-powered software products for dental practices, including:

  • AI Receptionist: An AI-powered voice receptionist that answers calls, schedules appointments, and handles routine patient inquiries around the clock, integrated with your practice management software.
  • Personalized Office Wiki: A locally-installed, AI-powered knowledge base for your practice — storing protocols, procedures, and institutional knowledge so your team always has answers at hand.
  • Auto EOB Upload: A locally-installed tool that automates Explanation of Benefits (EOB) retrieval from insurance carriers and reconciles payments against your practice ledger.

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to subscribers.

3. Eligibility

Our products and services are intended exclusively for US-based dental practices, dental service organizations (DSOs), and related oral health providers. By using our services, you represent and warrant that:

  • Your practice is located in the United States.
  • You are authorized to enter into this agreement on behalf of your practice or organization.
  • You are at least 18 years of age.
  • Your use of Bridge Innovations products complies with all applicable federal, state, and local laws, including healthcare regulations.

4. Account Registration & Security

To access Bridge Innovations products, you must register for an account. You agree to:

  • Provide accurate, complete, and current information during registration and keep it up to date.
  • Maintain the confidentiality of your account credentials and not share them with unauthorized individuals.
  • Notify us immediately at info@bridgeinnovations.net if you suspect unauthorized access to your account.
  • Accept responsibility for all activity that occurs under your account.

Bridge Innovations reserves the right to terminate accounts that violate these Terms or that have been inactive for an extended period, with prior notice where feasible.

5. Acceptable Use

You agree to use Bridge Innovations products only for lawful purposes and in accordance with these Terms. You must not:

  • Use the services in any way that violates applicable federal, state, or local laws or regulations, including HIPAA and other healthcare privacy laws.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any Bridge Innovations software.
  • Use the services to transmit malware, spam, or any harmful code.
  • Attempt to gain unauthorized access to any part of the services or related systems.
  • Resell, sublicense, or otherwise transfer access to our products to third parties without our express written consent.
  • Use the services in a manner that could damage, disable, overburden, or impair our infrastructure.

6. Payment & Subscription

Bridge Innovations products are offered on a subscription basis. By subscribing, you agree to the following:

  • Billing: Subscriptions are billed on a recurring basis (monthly or annually) as selected at the time of purchase. All fees are in US dollars.
  • Auto-renewal: Subscriptions automatically renew at the end of each billing period unless cancelled. You authorize us to charge your payment method on file for each renewal period.
  • Cancellation: You may cancel your subscription at any time by providing at least 30 days' written notice prior to your next renewal date. Cancellations take effect at the end of the current billing period; no partial-period refunds are issued.
  • Price changes: We may change subscription fees at any time with at least 30 days' advance notice. Continued use after the effective date of a price change constitutes acceptance of the new pricing.
  • Taxes: You are responsible for all applicable taxes associated with your subscription.

7. HIPAA & Data Handling

Bridge Innovations is committed to HIPAA compliance across all products. As a Business Associate under HIPAA, we enter into a Business Associate Agreement (BAA) with each dental practice we serve. By using our services, you acknowledge and agree to the following:

  • You are responsible for ensuring your own practice's compliance with HIPAA and all applicable healthcare privacy regulations.
  • You must execute a BAA with Bridge Innovations before transmitting any Protected Health Information (PHI) through our services. Contact us to obtain a BAA prior to go-live.
  • Personalized Office Wiki and Auto EOB Upload are installed locally on your practice network. Patient data processed by these products remains on your local infrastructure and is not transmitted to Bridge Innovations servers.
  • AI Receptionist does not record or store call content. Call audio is processed transiently to handle the conversation and is not retained after the call ends.
  • Bridge Innovations does not use your practice data, patient interactions, or PHI to train any AI model.

8. Intellectual Property

Bridge Innovations owns all right, title, and interest in and to its products and services, including all underlying software, algorithms, models, interfaces, documentation, and related intellectual property. These Terms do not grant you any ownership rights — only a limited, non-exclusive, non-transferable license to use the products during your active subscription period, solely for your practice's internal operations.

You retain ownership of all data and content you provide to Bridge Innovations. You grant Bridge Innovations a limited license to process your data solely as necessary to deliver the services to you.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Bridge Innovations and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, or business interruption, arising from your use of or inability to use our products or services, even if we have been advised of the possibility of such damages.

In no event shall Bridge Innovations' total cumulative liability to you for any claims arising under or related to these Terms exceed the total subscription fees you paid to Bridge Innovations in the twelve (12) months immediately preceding the claim.

Bridge Innovations does not warrant that its products will be error-free, uninterrupted, or that they will meet your specific requirements. The products are provided "as is" and "as available."

10. Termination

Either party may terminate these Terms upon the conditions described herein. Bridge Innovations may suspend or terminate your access to any product or service immediately, without prior notice, if:

  • You materially breach these Terms and fail to cure the breach within 10 days of written notice.
  • You use the services in a manner that poses a security risk or legal liability to Bridge Innovations or other customers.
  • Required to do so by law or regulation.

Upon termination, your right to use all Bridge Innovations products ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) shall survive.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

12. Changes to Terms

We may update these Terms of Service from time to time. We will notify active subscribers of material changes via email at least 30 days before they take effect. The updated Terms will be posted on this page with a revised "Last updated" date. Continued use of our products after the effective date of any changes constitutes your acceptance of the updated Terms.
